Immersion learning is way faster than classwork. You get a better handle on the theory (grammar and stuff) taking a class, but in terms of being able to converse and survive in a language, you'll learn it faster if you have to learn it.

I can't speak for all universities but at the one I worked at the commercialization office liked to see student led spinoff companies. If a contract granting him all rights in exchange for royalties is what was needed to make that happen, it may have been the best option they saw to go forward with this property.
